TaskBullet- Terms of Service Agreement
Please take the time to read this entire Agreement Contract.
By engaging with TaskBullet, LLC, you expressly agree to the following standard terms and conditions:
In this Agreement, the party who is contracting to receive the services shall be referred to as the “Client”, and the party who will be providing the services, TaskBullet, shall be referred to as the “Contractor”.
VIRTUAL ASSISTANTS:
The Contractor will utilize the services of Virtual Assistants. All Virtual Assistants hired by the Contractor to assist in performing the tasks and duties shall be the responsibility of the Contractor unless specifically indicated otherwise in an agreement signed by all parties.
- DESCRIPTION OF SERVICES:
1.1 Contractor will provide Virtual Assistant’s that will provide the following services that may include but are not limited to:
1.1 Marketing
1.2 Billing and Invoicing
1.3 Research & data entry
1.4 Calendar and appointment management
1.5 Website management
1.6 Email management
1.7 Other administrative duties that may arise
1.8 Services may vary depending on the Client’s needs and the Virtual Assistant’s abilities.
1.9 Client agrees to give detailed instructions to Virtual Assistants to complete each task.
1.10 Client understands that some tasks may be outside of the Virtual Assistant’s abilities.
1.11 Virtual Assistants will work a maximum of 160 hours per month to execute services, as delegated by the Client.
- TERM:
2.1 Client shall have 90 days to use the purchased hours.
2.2 Contractor will provide the Client a 60-day trial period beginning on the date of this agreement (the Trial), in which the Client may have the option to cancel and receive a refund on the unused hours.
2.3 Refunds will be processed within 15 days of written notice.
2.4 PAYMENT FOR SERVICES:
2.5 Client shall pay Contractor the dollar amount associated with the chosen bucket of hours (starter, light, expert, per-task, full time.)
2.6 These installments will be due upfront for every bucket of hours and will begin on the date of this Agreement.
2.7 All used hours are non-refundable.
2.8 The Client will be responsible for any extra expenses or subscriptions that may be needed for Virtual Assistants to complete the Clients tasks.
2.9 No amount of unused hours after ninety (90) days of Virtual Assistant services will rollover or be used in any following Terms
- A TERM:
2.A.1 Monthly subscription will move the original hour’s expiration date back one month.
2.A.2 If the Client has an active Hours Protection Plan when purchasing hours. The original exportation date will be extended once each month the Hours Protection Plan is active.
2.A.3 If the Client adds an Hours Protection Plan after the purchase of hours. The expiration date will revert one month from the purchase date.
2.A.4 The Client shall be solely responsible for the payment of the Charges.
2.A.5 All Charges shall be exclusive of VAT, which TaskBullet LLC shall add to its invoices at the appropriate rate for Clients.
2.A.6 The Client shall pay the total Charges to TaskBullet in advance by credit or debit card or via PayPal without deduction or set-off. The Monthly Subscription Charge shall be payable on the Billday of each month.
2.A.7 The parties agree that TaskBullet may review and increase its Charges. TaskBullet shall give the Client written notice of any such increase in advance of the proposed date of that increase. If such increase is not acceptable to the Client, it may, within 10 days of the date of such notice, terminate the agreement constituted by these Terms by giving written notice to TaskBullet Such termination shall take effect on the next Billday.
2.A.8 In the event that payment is not rejected or is for any reason (other than default or negligence of TaskBullet) not received in advance of the relevant Services being provided then, without prejudice to any other right or remedy that TaskBullet may have:
(a) the Client shall pay interest on the overdue amount at the rate of 4% per annum above HSBC Bank plc’s base rate from time to time. Such interest shall accrue on a daily basis from the due date until the actual payment of the overdue amount, whether before or after judgment. The Client shall pay the interest together with the overdue amount; and
(b) TaskBullet may suspend all Services until payment has been made in full.
2.A.9 All sums payable to TaskBullet under these Terms shall become due immediately on its termination, despite any other provision. This is without prejudice to any right to claim for interest under the law, or any such right under these Terms.
2.A.10 All amounts due under these Terms shall be paid in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law).
2.A.11 In the event that following reasonable efforts on TaskBullet’s part to recover any sums owed to it under these Terms by the Client, TaskBullet may refer the matter to an accredited collections agency. TaskBullet shall be entitled to charge to Client any sums charged by such collection agency in respect of recovery of the outstanding sums.
2.A.12 Refunds are at the sole discretion of TaskBullet.
- TERMINATION:
3.1 Client or Contractor may not unless approved by the other party, terminate this agreement before the end of Term.
3.2 If Client fails to purchase additional hours without coming to an additional agreement with Contractor, Client will be deemed as breaching this agreement the contractor will stop work at the end of the current bucket of hours.
3.3 If Client breaches this Agreement, Contractor has the right to send the remaining debt balance (if any) to a collections agency, whose fees will be added onto the remaining debt balance.
3.4 In the event of either party committing a crime, this agreement is deemed terminated immediately.
- RELATIONSHIP OF PARTIES:
4.1 It is understood by the parties that the Contractor is an independent contractor. The client shall not be responsible for withholding taxes with respect to Contractor’s compensation hereunder additionally, the Client is not responsible for Contractor’s vacation pay, sick leave, retirement benefits, social security, worker’s compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind.
- CONFIDENTIALITY:
5.1 Contractor and Virtual Assistants will not at any time or in any manner, either directly or indirectly, use for the personal benefit of Contractor and Virtual Assistants, or divulge, disclose, or communicate in any manner, any information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this agreement. Upon termination of this agreement, Contractor and Virtual Assistants will return to the Client all records, notes, documentation, and other items that were used, created, or controlled by Contractor and Virtual Assistants during the term of this Agreement.
- WARRANTIES & INDEMNIFICATION:
6.1 Both parties warrant and represent that they are under no disability, restriction or prohibition, whether contractual or otherwise, with respect to their right to execute this Agreement and perform its terms and conditions.
6.2 Each party agrees to and does hereby indemnify, save and hold the other party harmless from any and all loss and damage (including reasonable attorneys’ʹ fees) arising out of, connected with or as a result of any inconsistency with, failure of, or breach by either party of any warranty, representation, agreement, promise, undertaking or covenant contained in this Agreement
- LEGAL FEES:
7.1 In the event that Contractor or Client is forced to obtain an attorney to enforce the terms of this Agreement, that party shall be entitled to recover from attorney’s fees incurred in such action.
- CHOICE OF LAW:
8.1 The laws of the State of Utah shall govern the validity of this agreement, the construction of its terms, and the interpretation of the rights and duties of the parties hereto. The courts located in the City of Sandy Utah shall have exclusive jurisdiction over all disputes between Contractor and Client pertaining to this Agreement and all matters related hereto.
- NON-SOLICITATION:
9.1 Client acknowledges that Virtual Assistants providing services to Client from Task Bullet is or may be subject to an agreement prohibiting Task Bullet personnel from working, directly, or indirectly, for Client while employed by Task Bullet, Or in the event that Task Bullet ceases or terminates their working relationship with Taskbullet. Accordingly, the Client agrees not to hire or otherwise permit services to be provided to the Client by any past or present Task Bullet personnel, directly or indirectly, during the term of their employment or theater for twelve (12) months from the date that the Client terminates their relationship with Task Bullet. It is acknowledged that if the Client/Financially Responsible Party breaches this obligation, Task Bullet will suffer great and irreparable injury in amounts difficult to ascertain. Therefore Company shall be entitled to enforce the terms of this provision by filing for temporary and permanent injunction and in addition to any action for the recovery of damages sustained by the Company.
- EMPLOYEE BUYOUT
10.1 If the Client would like to retain TaskBullet personnel outside of TaskBullet and work directly, or indirectly in so violating the terms of this agreement. There must be a buyout agreement signed by all parties involved. Client, Employee and TaskBullet. The price to purchase an employee will range from $5,000.00 – $10,000.00 USD /employee. All employee buyout offers we be handled at the discretion of TaskBullet. TaskBullet is not obligated to accept an employee buyout offer for any reason.
